WHEREAS:

Furniture Connection rents and sells furniture, furnishings, and décor (“Furnishings”); delivers Furnishings, and offers staging, interior decorating and home styling consultation and related services (“Services”); and
The Payer wishes to rent the Furnishings and receive the Services for the benefit of their clients, policy holders, or employees (the “End-Users”);

NOW THEREFORE in consideration of the promises and covenants contained in this agreement, Furniture Connection and the Client agree as follows:

Rental
1. The Payer agrees to rent and pay for the Furnishings from the applicable Rental Commencement Date for the End-User until the Furnishings are returned to Furniture Connection, typically at the end of Rental Term
2. If the Furnishings are retained by the End-User after the expiry of the contracted Rental Term, the Furnishings rental will continue on a month-to-month basis until the End-User returns the Furnishings to Furniture Connection.
3. Early returns of Furnishings within the first month of rental term shall not be prorated or refunded. After the first month, mid-month returns may be prorated on a biweekly basis at Furniture Connection’s discretion, otherwise early returns on all Furnishings will be subject to the Termination terms outlined in Clause 4.
4. The Payer agrees to pay the Furnishings rental and fee for Services that will be invoiced by Furniture Connection monthly as per Clause 5
5. Furniture Connection will communicate with the End-User with respect to logistical arrangements, including all matters related to the physical delivery of furnishings and insurance, and End-User responsibilities, including the obligations set out in the Furnishings Care Agreement that will be entered into by Furniture Connection and End-User (attached hereto as Schedule A).
6. The Payer should inform Furniture Connection as early as possible if End-User has pets, number of pets and any small children. This will assist Furniture Connection in the selection of furniture most appropriate for the End-User.
7. The Payer further acknowledges that facilitation of Rental and Services expressly includes dispute resolution assistance between Furniture Connection and the End-User over conditions stipulated in the executed Furnishings Care Agreement.
8. The Payer acknowledges that the Furnishings are and will remain Furniture Connection’s property at all times.
Delivery and Returns
1. Furniture Connection requires four (4) days to arrange for the delivery or return of the Furnishings.
Additional Fees and Charges
1. A cancellation fee of $200.00 will be charged if the Payer cancels delivery after 2:00pm on the day preceding the scheduled delivery.
2. A cancellation fee of $200 shall be charged if the Payer cancels pickup or return and the next available day for this is past the rental term by a maximum of within 5 days.
Termination
1. Either party can terminate this Agreement upon a minimum of two weeks/months’ written notice. The Payer acknowledges that all Furnishings must be returned, and all outstanding fees must be paid in full prior to the termination date.
2. As Furniture Connection offered the Payer a discounted rental rate based on the committed term, and the timeframe has been terminated prior to the end of rental term, the Client agrees to pay an Early Termination Fee (ETF).
3. The Early Termination Fee is the total difference between the discounted rate offered for your committed rental term, and the rate applicable for the shorter rental term fulfilled.
  
  Furniture Connection uses the following formula to calculate an ETF unless a pre-agreed discount schedule has been established for this rental:
4. The Payer acknowledges that the Early Termination Fee is a reasonable approximation of Furniture Connections’ damages that would be caused by an early termination and is not a penalty.
5. The Payer acknowledges that any failure to pay any invoice or any breach of any provision in this agreement by the Payer shall constitute a Default. Upon Default, Furniture Connection may provide a written warning of default and give the Payer a period of two weeks to remedy.
6. In case default was not remedied or dealt with, Furniture Connection will elect to immediately terminate this Agreement and be entitled to repossession of the Furnishings upon delivery of a Notice of Repossession to the Payer. Furniture Connection may exercise any other right or remedy available to it under applicable law, and all of Furniture Connection’s rights and remedies are cumulative and nonexclusive.
7. Within 24 hours of receiving Furniture Connection’s Notice of Repossession, the Payer agrees to notify the End-User to provide immediate access to Furniture Connection to the premises for the removal of the Furnishings.
Terms & Methods of Payment
1. The Payer shall pay Furniture Connection’s invoices within 30 days of receipt and acknowledges that Furniture Connection accepts payments by credit card, EFT and e-transfer.
2. Furniture Connection's first month invoice is issued upon completion of rental furniture install at the End-User’s premises (Rental Commencement Day) and includes the Furnishings rental component and Services component(s). The latter is typically a one-time fee, unless agreed otherwise.
Additional Terms and Conditions
1. The Payer acknowledges that it cannot assign this Agreement, sublease the Furnishings, or move any of the Furnishings out of the End-User’s premises without receiving prior written consent from Furniture Connection.
2. The Payer acknowledges that the Furnishings are rented “as-is.”
3. Furniture Connection shall not be liable for any loss of anticipated profits or for any other incidental or consequential damages. Further, Furniture Connection shall not be liable for failures or delays that are caused through no fault or negligence of its own, including, but not limited to, failures or delays caused by Furniture Connection's suppliers, subcontractors, or agents.
4. The Payer hereby agrees to indemnify and hold Furniture Connection and its successors and assigns harmless from and against any claim, demand, loss, liability, cost and expense of any kind arising out of, relating to, or connected with the Furnishings.
5. No waiver by Furniture Connection of any provision or breach shall be deemed a waiver of any other provision or breach of the same provision at a later time.
6. This Agreement shall be interpretated and governed by the laws in force in the province where services have been performed.
7. If any provision of this Agreement is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision and all other provisions shall continue in full force and effect.
8. This Agreement and all invoices constitute the entire agreement between the Payer and Furniture Connection. This Agreement supersedes all prior communications oral and written, relating to the Furnishings and Services.
9. This Agreement shall enure to the benefit of and be binding upon the heirs, personal representatives, executors, executrixes and administrators, committees, receivers, trustees in bankruptcy, successors and permitted assignees of Furniture Connection.

IN WITNESS WHEREOF the parties hereto have each executed this Agreement as of the day and year first written above.
